Summary

What you'll do

1. Provide specialized legal advice and guidance on M&A transactions, investments, and joint ventures.
2. Support and lead complex corporate transactions with a focus on deals involving crypto and Web3-related products.
3. Draft, review, and negotiate commercial agreements to protect company interests, particularly in M&A and joint ventures.
4. Ensure compliance with applicable laws and regulations across jurisdictions, including regulatory issues related to crypto and Web3.
5. Monitor and advise on legal risks emerging from innovations in crypto and Web3 spaces.
6. Manage relationships with external legal counsel, especially those with expertise in M&A and blockchain-related matters.
7. Collaborate with product, finance, and business teams to provide legal insight on Web3 and crypto initiatives.
8. Develop and implement corporate policies and procedures relevant to emerging technologies.
9. Mentor and provide guidance to junior legal staff and paralegals on specialized transaction matters.

What you'll need

1. A law degree (LLB, JD or equivalent) from an accredited institution and admission to practice law.
2. Minimum of 5-8 years of experience in corporate law, preferably within a large corporation or law firm.
3. Strong specialization in mergers and acquisitions (M&A), investment, and joint venture transactions.
4. Knowledge and experience in crypto and Web3 technologies, especially with regard to product knowledge, preferred.
5. Strong knowledge of corporate governance, securities law, contracts, and compliance.
6. Proven experience in negotiating and drafting a wide range of commercial agreements.
7. Excellent analytical, problem-solving, and communication skills.
8. Ability to provide practical legal advice aligned with business objectives.
9. Strong leadership and project management skills.
10. Experience managing external counsel and collaborating with cross-functional teams.
11. High ethical standards and integrity.
12. Fluency in English and Mandarin.
